Terms of Service

Effective date: April 9, 2026

These Terms of Service govern access to and use of the Prysma Sentinel software platform provided by Prysma Software, organized under the laws of Argentina. By using the service, the customer organization and its authorized users confirm they have read and accepted these Terms. For individuals in the European Economic Area (EEA) or United Kingdom, additional data-protection rights may apply as described in our Privacy Policy.

1. Identification and contact

The Prysma Sentinel service is operated by Prysma Software (Prysma), a company organized under the laws of the Argentine Republic. For contractual or legal inquiries, use the support channel published on the site or the contact email shown in the dashboard.

2. Nature of the service

Sentinel is a subscription (SaaS) software tool for field operations, fleet visibility, alerts, and traceability. The software is licensed on a non-exclusive, revocable basis according to the subscribed plan. It is not a public emergency service, a substitute for state emergency calling systems (e.g. 911/112), or a medical or safety device certified by a competent authority unless expressly agreed otherwise in writing.

3. Limitation of liability

To the fullest extent permitted by applicable law, Prysma shall not be liable for indirect damages, lost profits, data loss, business interruption, or incidents arising from: (a) unavailability or degradation of third-party networks (including mobile, Internet, or satellite); (b) environmental, topographic, or regulatory conditions at the deployment site; (c) misuse, misconfiguration, or lack of training by the customer; (d) hardware not supplied by Prysma or third-party integrations.

The customer acknowledges that the system is an operational support tool and that critical decisions—including response to real emergencies—remain solely the responsibility of the customer, its internal protocols, and competent authorities.

4. Hardware ownership vs. software license

Unless otherwise agreed in writing, physical devices purchased as part of the Sentinel ecosystem (nodes, gateways, or other equipment) are owned by the customer once paid according to the applicable commercial terms. The license to use the software, dashboard, APIs, and related SaaS updates is limited, non-transferable (except merger or permitted assignment), and ends upon termination or suspension of the subscription as set out in these Terms.

5. LoRa networks and radiofrequency limitations

Communications using LoRa and other radio technologies are subject to national and local regulations (bands, radiated power, homologation, and spectrum use). The customer is responsible for permissions, certifications, and deployments compliant with applicable law in each jurisdiction.

Prysma does not guarantee coverage, latency, or radio link availability under interference, physical obstruction, distance, weather, or other electromagnetic conditions. Actual performance depends on the customer’s network design and operating environment.

6. Service availability (basic SLA)

Prysma targets 99.9% monthly availability for the Sentinel software platform, excluding: (i) scheduled maintenance with reasonable notice; (ii) force majeure; (iii) failures of infrastructure or Internet connectivity vendors outside Prysma’s control; (iv) suspensions for customer breach or security risk.

This SLA applies only to software hosted and operated by Prysma. Availability of the customer’s physical network (including LoRa links, power, antennas, and edge connectivity) is the customer’s responsibility and is not covered by this service level commitment.

7. Payments, billing, and Stripe

Subscriptions and recurring charges may be processed through Stripe or other providers indicated at checkout. The customer authorizes charges according to the selected plan. Applicable taxes are invoiced per governing law. Non-payment may result in suspension of access after notice where appropriate.

8. Hardware: delivery, legal warranty, and returns

Unless mandatory consumer law in the end user’s jurisdiction provides otherwise, equipment supplied by Prysma or authorized distributors may not be returned for change of mind once installed, activated, paired to an organization, or customized, where contractually permissible.

Consumer rights regarding hidden defects or failure to meet agreed written specifications remain governed by the Argentine Civil and Commercial Code and other applicable local law.

9. Confidentiality, security, and data

Processing of personal and location data is governed by the Privacy Policy. The customer is responsible for informing field personnel and obtaining necessary legal bases under employment and data-protection law.

10. Changes, governing law, and venue

Prysma may update these Terms by publishing a revised version with an effective date. Continued use after notice may constitute acceptance, subject to non-waivable consumer rights.

Unless mandatory law provides otherwise, these Terms are governed by the laws of the Argentine Republic. Disputes are subject to the ordinary courts of the City of Buenos Aires, without prejudice to rights of consumers in other jurisdictions or the EEA where applicable.
